The Case Study 

We assisted a client in the IT and software sector which creates bespoke and innovative code and software development, servicing, maintenance and hosting.  

We were initially engaged to review their customer terms and conditions as a key project under our mlpflex service. Rather than simply review the legal terms, our proactive and commercially minded team identified a number of practical ways in which our client could improve their pricing approach and billing processes. As a direct result, our client was able to negotiate a 300% revenue increase from one of their main customers.  

As part of this key project, our Partner-led team also worked with our client to implement a change programme across their customer base to introduce alternative pricing options across different aspects of their business – this included fixed fees, hourly rates (with premiums for out of hours servicing) and retainers. Again, this directly led to significant revenue growth for our client. 

We then elevated our strategic focus to facilitate discussions to help the business owners set out their journey and build and grow strategy. This involved updating their Shareholders’ Agreement and Articles of Association to reflect their now up to date governance rule book. We included future proofing within this exercise to ensure that the possibility of senior employees being offered shares through an Enterprise Management Incentive (EMI) option scheme was enabled at this point. 

Similarly, we also reviewed our client’s terms and conditions of purchase with their key suppliers and helped instigate a supplier relationship management programme to improve the commerciality of these relationships. 

Our strategic focus will shortly switch to preparing our client for, and taking them through, a due diligence process in readiness for a round of funding for their next growth phase.
